These Terms of Service (“Terms”) are a legally binding agreement between you (“you”, “customer”) and TIVAGENICS (“TIVAGENICS”, “we”, “us”, “our”), regarding your access to and use of our website, store, and related services (collectively, the “Services”).
By accessing, browsing, or purchasing through the Services, you agree to these Terms and the policies incorporated by reference: Privacy Policy and Refund Policy and, if applicable, our Shipping Policy and Subscription Policy (together, the “Policies”). If you do not agree, do not use the Services.
1) Eligibility; Accounts
1.1 Age. You must be the age of majority in your place of residence to use the Services or purchase products.
1.2 Account information. You agree to provide accurate, current, complete information and to update it as needed.
1.3 Security. You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. We may suspend or terminate accounts for suspected unauthorized access or misuse.
2) Products; Availability; Accuracy
2.1 Product information. We strive to display products accurately. Colors/appearance may vary by device.
2.2 Availability & changes. Product descriptions, pricing, availability, and specifications may change at any time. We may discontinue products without notice.
2.3 Quantity limits. We may limit quantities per person, household, order, or jurisdiction.
3) Orders; Order Acceptance; Cancellations
3.1 Offer to purchase. Your order is an offer to purchase. We may accept or decline any order at our discretion.
3.2 Acceptance. An order is accepted only when we confirm acceptance and successfully process payment.
3.3 Cancellations/changes. Once accepted, cancellation or changes may not be possible. If we cancel or modify an order (including for stock issues, pricing errors, or suspected fraud), we will attempt to notify you using the contact details you provided.
4) Pricing; Taxes; Billing; Pricing Errors
4.1 Pricing. Prices and promotions may change without notice. Prices typically exclude taxes, shipping, duties, or import fees unless stated otherwise.
4.2 Billing authorization. You represent you are authorized to use the payment method. You authorize us (and our payment processors) to charge your payment method for your order total, including taxes/shipping where applicable.
4.3 Pricing/description errors. If a product is listed at an incorrect price or with incorrect information due to an error, we may cancel or refuse orders placed for that product, even after an order confirmation or payment authorization. If your payment has been processed, we will issue a refund for the applicable amount.
5) Shipping; Delivery; Title; Risk
5.1 Estimates. Delivery dates are estimates and not guaranteed. We are not responsible for delays outside our control (carrier delays, customs, weather, etc.).
5.2 International orders. You are responsible for duties, taxes, import fees, and compliance with local laws unless we state otherwise.
5.3 Title & risk. Title transfers and risk of loss transfer as required by applicable law. If you believe a shipment is lost/damaged, contact us promptly so we can investigate with the carrier.
6) Returns; Refunds
6.1 Refund Policy controls. Returns/exchanges/refunds are governed solely by our Refund Policy
6.2 Non-resale. Purchases are for personal/household use, not resale, export, or commercial redistribution, unless we expressly agree in writing.
7) Subscriptions (If Offered)
If you enroll in a subscription/auto-ship program, subscription terms (billing frequency, cancellation, changes, and renewal) are governed by our Subscription Policy and any checkout disclosures.
8) Promotions; Gift Cards (If Offered)
Promotions may be subject to additional terms. Gift card terms (expiration, redemption, limitations) are provided at issuance and/or within applicable policies.
9) Intellectual Property
9.1 The Services and all content (text, graphics, logos, images, video, audio, designs, and software) are owned by or licensed to TIVAGENICS and are protected by intellectual property laws.
9.2 You may use the Services only for personal, non-commercial purposes. You may not copy, reproduce, distribute, modify, reverse engineer, or exploit any portion of the Services without our prior written consent.
10) Reviews; Feedback; User Content
10.1 If you submit reviews, comments, or other content (“User Content”), you grant us a worldwide, royalty-free, sublicensable license to use, display, reproduce, modify, and distribute such User Content for operating and marketing the Services.
10.2 You represent your User Content is lawful, accurate to the best of your knowledge, and does not infringe third-party rights.
10.3 We may remove User Content at our discretion.
11) Third-Party Tools; Links
The Services may include third-party tools or links. We do not control and are not responsible for third-party content, websites, or services. Your use is at your own risk and subject to third-party terms.
12) Prohibited Uses
You agree not to use the Services for unlawful purposes, fraud, harassment, IP infringement, scraping, malware distribution, interference with security features, or any conduct that may harm TIVAGENICS, Shopify, or others. We may suspend or terminate access for violations.
13) Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for suspected violations, fraud, chargeback abuse, or risk to the platform or customers.
14) Health & Supplement Disclaimer (Important)
14.1 No medical advice. Content on the Services is for general informational purposes only and is not medical advice.
14.2 Consult a professional. Consult a healthcare professional before using supplements, especially if you are pregnant/nursing, under 18 (or under the age of majority), have a medical condition, or take medications.
14.3 U.S. FDA disclaimer (where applicable). Statements on the Services have not been evaluated by the U.S. Food and Drug Administration. Products are not intended to diagnose, treat, cure, or prevent any disease.
14.4 Results vary. Individual results may vary. Use only as directed on the label.
15) Disclaimer of Warranties
To the fullest extent permitted by law, the Services and products are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.
16) Limitation of Liability
To the fullest extent permitted by law, TIVAGENICS (and its affiliates, officers, employees, agents, service providers) will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data.
Liability cap: To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Services or products will not exceed the amount you paid for the product(s) giving rise to the claim.
Some jurisdictions do not allow certain limitations; in such cases, limits apply to the maximum extent permitted by law.
17) Indemnification
You agree to indemnify and hold harmless TIVAGENICS and Shopify (and their affiliates, officers, employees, agents) from claims, damages, liabilities, and reasonable legal fees arising from your breach of these Terms, your misuse of the Services, or your violation of law or third-party rights.
18) Dispute Resolution; Governing Law; Venue
18.1 Good-faith resolution. Before filing a claim, you agree to contact us at info@tivagenics.co and attempt to resolve the dispute informally for at least 30 days.
18.2 Governing law (clear and non-contradictory):

Canada customers: These Terms are governed by the laws of Alberta, Canada, excluding conflict-of-law rules, and disputes will be brought in the courts located in Calgary, Alberta, unless consumer protection laws require otherwise.

U.S. customers: These Terms are governed by the laws of the State of Wyoming, excluding conflict-of-law rules, and disputes will be resolved as set out below (Arbitration), unless prohibited by law.
18.3 Arbitration (U.S. customers, where permitted):
Except for small claims matters or requests for injunctive relief related to IP or misuse, any dispute will be resolved by binding arbitration on an individual basis, and not in a class action, to the extent permitted by law. The arbitration will be conducted in English and administered by a recognized arbitration provider under its applicable rules.
If any portion of this arbitration clause is found unenforceable, the remainder remains in effect.
19) Privacy
Our collection and use of personal information is governed by our Privacy Policy. Because the Services are hosted by Shopify, Shopify may process certain data to provide and improve the Services.
20) Changes to Terms
We may update these Terms from time to time by posting the updated version on the website. Changes are effective on posting unless otherwise required by applicable law. Continued use of the Services after changes constitutes acceptance.
21) Severability; Waiver; Entire Agreement
If any provision is unlawful or unenforceable, the remaining provisions remain in effect. These Terms and Policies constitute the entire agreement and supersede prior agreements regarding the Services.
22) Assignment
You may not assign these Terms without our written consent. We may assign these Terms as part of a merger, acquisition, or asset transfer.
23) Relationship with Shopify
Our store is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with TIVAGENICS. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and TIVAGENICS, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with TIVAGENICS.
